Corporate Formation, Restructuring, Cost Management and Growth

Redomesticated client’s subsidiaries to reduce retaliatory state tax burden.

Negotiated and drafted a multi-million dollar contract for outsourcing of client's call-center functions.

Negotiated and drafted a multi-million dollar contract between client company and a major bank for custodial and investment management services. 

Negotiated and drafted a complex, high-dollar IT service contract to support expansion of client company's computer platform. 

Assisted client company with obtaining state economic-development tax credits.  

Reformed client company into holding company structure to enhance capital management and support plans for future expansion.

Obtained necessary court approvals to allow client company to purchase assets held by federal receivership.

Intellectual Property

Successfully registered numerous trademarks for clients.  

Obtained favorable resolution of trademark infringement claim against client.   

Negotiated and drafted trademark license agreements as part of client joint-marketing programs.  

Assisted client in implementing trademark protection program. 

Negotiated and drafted non-disclosure/non-competition agreements to protect client intellectual property rights.

Insurance and Insurance Regulation

Obtained numerous state licenses to support the growth and expansion of companies writing various lines of insurance.

Successfully defended client insurer in connection with a state insurance department action attempting to force the implementation of additional, and potentially costly, administrative procedures. 

Negotiated a multi-million dollar reinsurance commutation agreement on behalf of client property and casualty insurer.  

Assisted client property and casualty carrier with implementing procedures to assure compliance with state premium tax and assessment requirements.                               

Assisted client life insurer with the launch of a new whole-life program including the review of all policy forms, reinsurance treaties and policy administration outsourcing agreements.

Provided a comprehensive survey of laws and regulations to support client insurance carrier's plans for entry into a new state.

Designed, drafted and obtained approval of state-specific policy forms for client carriers. 

Employment Law

Obtained settlement in favor of employer for ex-executive’s breach of non-competition agreement. 

Designed and implemented executive compensation program for employer. 

Negotiated and drafted employment agreements with incoming executives. 

Successfully defended age-discrimination complaint against employer. 

Guided employer through multiple reductions in force.

Guided employers concerning employee termination issues.

Governmental Relations

Worked with state-wide industry committee to review and successfully propose limits on costly financial services regulations.

Worked with regulators to reduce costly reporting requirements for financial services companies.

Met with state legislators to discuss legislation affecting small businesses in Ohio.

Helped prepare corporate executives to provide testimony ultimately resulting in favorable amendments to proposed legislation.

Helped company draft and gain passage of regulations providing new tax credits.

Helped company form and administer public-interest foundation.
