Much of our expertise was developed through hands-on experience working in-house with leading insurance organizations. Our insurance practice includes the following areas: Regulatory Compliance, Market Conduct and Disciplinary Actions We advise companies on day-to-day regulatory issues, help them develop and implement compliance policies and procedures, and provide multi-state research as needed. The Firm also assists clients in conducting risk assessments, preparing for market-conduct examinations, responding to examination criticisms, negotiating final examination reports and penalty reductions, and implementing corrective measures. We have successfully defended clients in several regulatory disciplinary actions. Corporate Restructuring and Redomestication The Lawson Firm assists clients in restructuring their organizations to position them for growth including establishing holding company structures, selling off or liquidating subsidiaries, and withdrawing from unprofitable lines of business. We have helped companies redomesticate in order to reduce retaliatory taxes and gain other regulatory advantages. Company Formation, Licensing and Taxation We help companies determine the most advantageous jurisdiction for domestication and guide them through the licensing process to enable them to begin writing business quickly. The Firm also assists companies in qualifying for state tax credits and abatements. New Products and New Ventures The Firm helps companies develop and obtain approval for new and innovative insurance products and programs. We also have extensive experience in handling strategic partnership agreements, complex distribution agreements and outsourcing arrangements. Reinsurance We will review and help companies negotiate reinsurance treaties, commutation and other reinsurance related transactions. The Firm also provides assistance with captive reinsurer formation and qualification as well as assumption reinsurance transactions.
